Agreement to Our Legal Terms
We are Orca Creations LLC, doing business as Orca Hub ("Company," "we," "us," or "our"), a company registered in New York, United States at 60 W 66TH S T APT 15B, New York, NY 10023.
We operate the website https://orcahub.co (the "Site"), as well as any other related products and services that refer or link to these legal terms (collectively, the "Services").
Orca Hub is a client portal and workflow automation tool operated by Orca Creations LLC to support bookkeeping and financial operations services for restaurants and related hospitality businesses. It helps collect receipts, invoices, and other bookkeeping evidence; extract key document data; organize and match evidence against accounting data; create or prepare Bills and attachments when authorized; and provide bookkeeping visibility and operational reporting as part of the Orca Creations LLC service relationship.
Orca Hub is provided in connection with Orca Creations LLC's managed bookkeeping and financial operations services. It is not a standalone public self-service accounting marketplace, CPA firm, tax advisor, law firm, investment advisor, lender, payment processor, or money transmitter.

These Legal Terms constitute a legally binding agreement made between you, whether personally or on behalf of an entity ("you"), and Orca Creations LLC, concerning your access to and use of the Services. By accessing the Services, you agree that you have read, understood, and agreed to be bound by all of these Legal Terms. If you do not agree with all of these Legal Terms, you are expressly prohibited from using the Services and must discontinue use immediately.
We will provide you with prior notice of any scheduled changes to the Services you are using. The modified Legal Terms will become effective upon posting or notifying you by email. By continuing to use the Services after the effective date of any changes, you agree to be bound by the modified terms.
The Services are intended for users who are at least 18 years old. Persons under the age of 18 are not permitted to use or register for the Services.
1. Our Services
The information provided when using the Services is not intended for distribution to or use by any person or entity in any jurisdiction or country where such distribution or use would be contrary to law or regulation or would subject us to any registration requirement within such jurisdiction or country. Those who access the Services from other locations do so on their own initiative and are solely responsible for compliance with local laws.
The Services are not tailored to comply with industry-specific regulations such as HIPAA or FISMA. If your interactions would be subject to such laws, you may not use the Services. You may not use the Services in a way that would violate the Gramm-Leach-Bliley Act (GLBA).
Records in connected accounting platforms, including QuickBooks Online where connected, may be created, updated, synchronized, checked, or corrected only through authorized Orca Hub workflows, authorized Orca Creations LLC staff actions, or approved system workflows operating under the applicable Orca Creations LLC service agreement. Extracted data, matches, categories, and draft accounting records may be incomplete or incorrect and should be reviewed by an authorized user, Orca Creations LLC operator, or other appropriate advisor before being relied on.
We may create or manage accounting records and supporting materials such as vendors, bills, attachments, memos, categories, and related bookkeeping metadata where authorized. We do not broadly delete or modify existing customer-created accounting-platform records without authorization, although we may correct, void, remove, or clean up records or attachments created through Orca Hub workflows as part of correction, rollback, reconciliation, or customer-authorized bookkeeping work.
2. Intellectual Property Rights
Our intellectual property
We are the owner or licensee of all intellectual property rights in our Services, including source code, databases, functionality, software, website designs, text, photographs, graphics, trademarks, service marks, and logos contained in the Services.
Our Content and Marks are protected by copyright and trademark laws and treaties in the United States and around the world. The Content and Marks are provided in or through the Services "AS IS" for your personal, non-commercial use or internal business purpose only.
Your use of our Services
Subject to your compliance with these Legal Terms, including the Prohibited Activities section below, we grant you a non-exclusive, non-transferable, revocable license to access the Services and download or print a copy of any portion of the Content to which you have properly gained access, solely for your personal, non-commercial use or internal business purpose.
No part of the Services and no Content or Marks may be copied, reproduced, aggregated, republished, uploaded, posted, publicly displayed, encoded, translated, transmitted, distributed, sold, licensed, or otherwise exploited for any commercial purpose without our express prior written permission.

Your feedback and submitted data
By directly sending us any question, comment, suggestion, idea, feedback, or other information about the Services ("Submissions"), you agree to assign to us all intellectual property rights in such Submission. You agree that we may own and use such Submission for any lawful purpose without acknowledgment or compensation to you.
The Services allow you to upload, submit, sync, transmit, or otherwise provide receipts, invoices, business records, accounting data, comments, corrections, and related materials ("Submitted Data"). Submitted Data is governed by the Submitted Data and Limited Processing License sections below.
You are solely responsible for your Submissions and Submitted Data, and you agree to reimburse us for losses we may suffer because of your breach of these Legal Terms, third-party intellectual property rights, or applicable law.
3. User Representations
By using the Services, you represent and warrant that all registration information you submit will be true, accurate, current, and complete; you will maintain the accuracy of such information; you have the legal capacity and agree to comply with these Legal Terms; you are not a minor in your jurisdiction; you will not access the Services through automated or non-human means; you will not use the Services for any illegal or unauthorized purpose; and your use of the Services will not violate any applicable law or regulation.
If you provide information that is untrue, inaccurate, not current, or incomplete, we have the right to suspend or terminate your account and refuse current or future use of the Services.
4. User Registration
You may be required to register to use the Services. You agree to keep your password confidential and will be responsible for all use of your account and password. We reserve the right to remove, reclaim, or change a username you select if we determine that such username is inappropriate, obscene, or otherwise objectionable.
5. Prohibited Activities
You may not access or use the Services for any purpose other than that for which we make the Services available. As a user of the Services, you agree not to:
- Systematically retrieve data or other content from the Services to create or compile a collection, database, or directory without written permission from us.
- Trick, defraud, or mislead us or other users, especially in any attempt to learn sensitive account information.
- Circumvent, disable, or interfere with security-related features of the Services.
- Use information obtained from the Services to harass, abuse, or harm another person.
- Make improper use of our support services or submit false reports of abuse or misconduct.
- Use the Services in a manner inconsistent with any applicable laws or regulations.
- Engage in unauthorized framing of or linking to the Services.
- Upload or transmit viruses, malware, corrupted files, executable code, or other materials intended to disrupt, damage, or interfere with the Services or third-party systems.
- Engage in automated use of the system, including scripts, robots, scraping, data mining, or similar data gathering and extraction tools.
- Delete copyright or other proprietary rights notices from any Content.
- Attempt to impersonate another user or person.
- Interfere with, disrupt, or create an undue burden on the Services or connected networks.
- Attempt to bypass account permissions, user roles, workflow controls, security features, or access restrictions.
- Copy, adapt, decipher, decompile, disassemble, or reverse engineer any software that is part of the Services, except as permitted by applicable law.
- Use the Services as part of an effort to compete with us or otherwise use the Services or Content for an unauthorized revenue-generating endeavor.
- Sell or otherwise transfer your profile.
- Upload, submit, or sync receipts, invoices, documents, or business records that you do not have the right or authority to provide.
- Submit false, misleading, altered, fraudulent, or incomplete accounting, vendor, invoice, receipt, payment, tax, or business information.
- Use the Services to create false bookkeeping records, misrepresent expenses, evade taxes, conceal transactions, or support fraudulent or unlawful business activity.
- Connect, access, manage, or provide data from any accounting-platform account, business, or organization unless you are authorized to do so.
6. Submitted Data
As between you and us, the applicable customer retains ownership of Submitted Data submitted to or processed through Orca Hub, including uploaded receipts, invoices, business records, connected accounting-platform data, accounting information, and related bookkeeping evidence. Orca Creations LLC retains ownership of the portal, software, workflow logic, templates, internal tools, and non-customer intellectual property.
You represent and warrant that you have the right and authority to upload, submit, sync, or otherwise provide Submitted Data through the Services and that such data does not infringe third-party rights, violate applicable law, or contain sensitive personal information not needed for the agreed bookkeeping service.
Any use of the Services in violation of these requirements may result in termination or suspension of your rights to use the Services.
7. Limited Processing License
You grant Orca Creations LLC a limited license to host, copy, process, transmit, analyze, extract, transform, display, and sync Submitted Data solely as needed to provide, secure, support, maintain, and improve Orca Hub and the Orca Creations LLC bookkeeping and financial operations services.
We may use aggregated or de-identified data that does not identify a customer, user, business, vendor, or individual for analytics, benchmarking, product improvement, extraction-quality improvement, and business insights. We do not use identifiable Submitted Data in public benchmarks without written permission.
We may edit, redact, categorize, correct, archive, or delete Submitted Data where needed to provide the Services, comply with law, protect security, correct workflow errors, or follow an authorized customer request, subject to applicable service agreement and retention obligations.
8. Third-Party Websites and Content
The Services may contain links to other websites and third-party content. Such third-party websites and content are not investigated, monitored, or checked by us for accuracy, appropriateness, or completeness, and we are not responsible for them.
If you leave the Services and access third-party websites or content, you do so at your own risk. You should review the applicable terms and policies of any third-party website or application.
9. Services Management
We reserve the right, but not the obligation, to monitor the Services for violations of these Legal Terms; take appropriate legal action against anyone who violates the law or these Legal Terms; refuse, restrict, limit, or disable access to Submitted Data or portions of the Services; remove files and content that are excessive in size or burdensome to our systems; and otherwise manage the Services to protect our rights and property and facilitate proper functioning.
10. Privacy Policy
We care about data privacy and security. Please review our Privacy Policy. By using the Services, you agree to be bound by our Privacy Policy, which is incorporated into these Legal Terms.
The Services are hosted in the United States. If you access the Services from another region with different laws governing personal data collection, use, or disclosure, you consent to transferring your data to and processing your data in the United States.
11. Copyright Infringements
We respect the intellectual property rights of others. If you believe that material available on or through the Services infringes upon any copyright you own or control, please notify us using the contact information below. You may be liable for damages if you make material misrepresentations in a notification.
12. Term and Termination
These Legal Terms remain in full force and effect while you use the Services. We reserve the right, in our sole discretion and without notice or liability, to deny access to and use of the Services to any person for any reason or no reason, including breach of these Legal Terms or applicable law.
We may terminate your use or participation in the Services, delete your account, or delete any content or information you posted at any time, without warning, in our sole discretion.
Upon termination of the service relationship, we may disable portal access, stop active service work, disconnect or stop syncing connected accounting platforms as agreed, provide a reasonable export or handover of customer records where applicable, and retain records as needed for legal, accounting, tax, security, backup, and dispute purposes. Existing records in the customer's connected accounting platform remain in that platform unless separately changed there.
13. Modifications and Interruptions
We reserve the right to change, modify, or remove the contents of the Services at any time or for any reason at our sole discretion without notice. We have no obligation to update information on our Services.
We cannot guarantee the Services will be available at all times. We may experience hardware, software, or other problems or need to perform maintenance, resulting in interruptions, delays, or errors.
14. Governing Law
These Legal Terms and your use of the Services are governed by and construed in accordance with the laws of the State of New York applicable to agreements made and to be entirely performed within the State of New York, without regard to its conflict of law principles.
15. Dispute Resolution
Any dispute resolution process, arbitration requirement, class-action waiver, court venue, or related procedure for the customer relationship is governed by the applicable Orca Creations LLC service agreement, engagement terms, order form, or other written commercial agreement. These portal Terms are not intended to create a separate or conflicting dispute-resolution framework where a service agreement applies.
16. Corrections
There may be information on the Services that contains typographical errors, inaccuracies, or omissions. We reserve the right to correct errors, inaccuracies, or omissions and to change or update information on the Services at any time, without prior notice.
17. Disclaimer
The Services are provided on an as-is and as-available basis. You agree that your use of the Services will be at your sole risk. To the fullest extent permitted by law, we disclaim all warranties, express or implied, in connection with the Services and your use thereof, including the implied warranties of merchantability, fitness for a particular purpose, and non-infringement.
We make no warranties or representations about the accuracy or completeness of the Services' content or the content of any websites or mobile applications linked to the Services, and we assume no liability or responsibility for errors, personal injury or property damage, unauthorized access, interruption or cessation of transmission, bugs or viruses, or loss or damage incurred as a result of use of any content made available via the Services.
18. Limitations of Liability
Damage exclusions, liability limits, correction responsibilities, remedies, and any allocation of risk for bookkeeping, accounting, connected accounting-platform synchronization, tax, filing, business interruption, or related service issues are governed by the applicable Orca Creations LLC service agreement, engagement terms, order form, or other written commercial agreement unless otherwise required by law.
Orca Hub supports bookkeeping workflows, but the customer remains responsible for its business records, filings, compliance obligations, and financial decisions except to the extent otherwise expressly agreed in writing.
19. Indemnification
You agree to defend, indemnify, and hold us harmless, including our subsidiaries, affiliates, officers, agents, partners, and employees, from and against any loss, damage, liability, claim, or demand, including reasonable attorneys' fees and expenses, made by any third party due to or arising out of your Submitted Data, use of the Services, breach of these Legal Terms, breach of your representations and warranties, violation of third-party rights, or any overt harmful act toward another user of the Services.
We reserve the right, at your expense, to assume the exclusive defense and control of any matter for which you are required to indemnify us, and you agree to cooperate with our defense of such claims.
20. User Data
We will maintain certain data that you transmit to the Services for the purpose of managing the performance of the Services, as well as data relating to your use of the Services. Although we perform routine backups of data, you are solely responsible for all data that you transmit or that relates to any activity you undertake using the Services.
21. Electronic Communications, Transactions, and Signatures
Visiting the Services, sending us emails, and completing online forms constitute electronic communications. You consent to receive electronic communications and agree that all agreements, notices, disclosures, and other communications we provide electronically satisfy any legal requirement that such communication be in writing.
You agree to the use of electronic signatures, contracts, orders, and other records, and to electronic delivery of notices, policies, and records of transactions initiated or completed by us or via the Services.
22. California Users and Residents

23. Miscellaneous
These Legal Terms and any policies or operating rules posted by us on the Services constitute the entire agreement and understanding between you and us. Our failure to exercise or enforce any right or provision of these Legal Terms shall not operate as a waiver. These Legal Terms operate to the fullest extent permissible by law.
We may assign any or all of our rights and obligations to others at any time. We are not responsible or liable for any loss, damage, delay, or failure to act caused by any cause beyond our reasonable control. If any provision is determined to be unlawful, void, or unenforceable, that provision is deemed severable and does not affect the validity and enforceability of remaining provisions.
